Manning & Napier Advisors, LLC (“Manning & Napier”) serves as a sub-advisor to the Fund. Manning & Napier Investor Services, Inc. (“MNBD”), an affiliate of Callodine and Manning & Napier, has a selling arrangement in place that allows MNBD to sell the Fund. The Fund is distributed by Distribution Services, LLC which is not affiliated with Callodine, any of their affiliates, or any of the individuals named within.

The Fund is an interval fund that makes quarterly repurchase offers of 5%–25% of outstanding shares at NAV. It is speculative, illiquid, and may not suit all investors.
